These Terms of Service (the “Terms”) govern your access to and use of the websites, mobile applications, software, APIs, and related services (collectively, the “Services”) provided by Otus Labs, Inc. (“Otus,” “we,” “us,” or “our”). These Terms apply to all users of the Services, including users who create an account (“you”).

By clicking “I agree,” creating an account, or otherwise accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy (and any other policies or disclosures we present within the Services). If you do not agree, do not access or use the Services.

NOTICE ON DISPUTE RESOLUTION: These Terms contain an arbitration agreement and class action waiver (see Section 20) that affects your rights.

PRE-LAUNCH NOTICE; INFORMATIONAL PURPOSES ONLY. Otus and the Services are in a pre-launch state and are not yet live. At this time, the Services may be limited to informational pages, waitlists, onboarding, identity verification, communications, or similar pre-launch functionality. Users cannot yet deposit funds, access a “Smart Savings Account,” or earn yield through Otus, and any descriptions of future features are for informational purposes only.

NO ADVICE. The Services and any content, statements, projections, estimates, or other information made available by Otus (including on our website and in our communications) are provided for general informational purposes only and do not constitute financial, investment, legal, tax, or other professional advice, and should not be relied upon as such. You are solely responsible for your decisions and should consult qualified professionals as appropriate.

NO GUARANTEES; FEATURES MAY CHANGE. We may change, delay, remove, suspend, or decide not to release any feature or functionality at any time. We make no guarantees about the timing, availability, performance, behavior, or outcomes of any future product or feature.

1. What Otus Does

Otus is building a consumer fintech platform intended to help users allocate and manage funds to seek yield opportunities, including through onchain protocols, using automated software and/or autonomous agents. The Services are currently in pre-launch and may not include functionality to deposit funds or earn yield.

During pre-launch, the Services may include (and after launch, may include):

• A user interface for onboarding, identity verification, account controls, and transaction initiation;
• Tools that route funds to third-party providers (including custodians, payment processors, banks, and blockchain protocols);
• Automated execution features (including “agents”) that you authorize to perform certain actions on your behalf (e.g., transfers, conversions, deposits, withdrawals, rebalancing) based on settings you choose;
• Disclosures, dashboards, and reporting.

Otus is not a bank. We do not take deposits as a bank does, and we do not offer bank accounts unless explicitly provided through a separate agreement with a regulated bank partner (if applicable). No FDIC insurance applies unless explicitly stated for a specific bank product offered by a bank partner in a separate agreement.

We may modify, suspend, or discontinue any part of the Services at any time, subject to applicable law.
